Paegents — Terms of Service
Welcome to Paegents, a platform enabling intelligent AI agents to autonomously transact, negotiate, and execute financial operations on behalf of users and organizations.
By accessing or using Paegents, you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Service.
1. Definitions
- “Paegents” or “the Service” refers to the platform, APIs, software, and related services provided by Paegents, Inc.
- “User” refers to any individual or entity accessing or using the Service.
- “Seller” refers to any individual or entity listing goods and services for sale using the Service.
- “Buyer” refers to any individual or entity allowing their agents to make purchases using the Service.
- “Agent” refers to AI-driven systems or automations deployed by a User through the Service.
- “Financial Operations” refer to any transactions, recommendations, negotiations, or actions executed or suggested by an Agent.
- “Content” refers to any data, prompts, instructions, or outputs generated by or provided to the Service.
2. Eligibility
You must:
- Be at least 18 years old.
- Have the legal authority to enter into binding agreements.
- Be legally permitted to use AI and financial technology services in your jurisdiction.
Use of Paegents for illegal, harmful, or prohibited activity is strictly forbidden.
3. Modification of Terms
Paegents may update these Terms at any time. When changes are made:
- We will post the updated Terms on the platform.
- Continued use of the Service constitutes acceptance.
4. Description of the Service
Paegents provides:
- A marketplace that allows Sellers to host a catalog of services that Buyer agents can purchase.
- The mechanism that allows Buyer AI agents to purchase from Sellers catalogs.
- APIs and interfaces for completing financial transactions.
- Tools for monitoring buyer agent behavior and governance.
Paegents does not provide legal, financial, tax, or investment advice. Outputs generated by Agents may be incomplete, inaccurate, or contain errors.
5. User Responsibilities
5.1 Provide Accurate Information
You are responsible for ensuring that account information, prompts, training data, and instructions provided to agents are correct and lawful.
5.2 Oversight of AI Agents
You retain full responsibility for:
- Monitoring your Agents' activity.
- Validating outputs.
- Ensuring actions comply with applicable laws and regulations.
5.3 Account Verification and Identity
All accounts must be authenticated through a supported identity provider (currently GitHub, Google, or Microsoft). These providers verify email ownership as part of their authentication flow.
Wallet addresses used in escrow agreements are subject to sanctions screening via the Chainalysis Sanctions Oracle. Paegents reserves the right to suspend accounts that fail sanctions screening or that are associated with prohibited activity.
Users are responsible for compliance with applicable regulatory requirements in their jurisdiction.
5.4 Financial Liability
Paegents is not liable for financial losses, incorrect transactions, or agent-driven decisions. You must configure appropriate safeguards, approval workflows, and spending limits.
5.5 Acceptable Use
Users may not use the Service to:
- Engage in fraud, money laundering, or illegal transactions.
- Generate harmful or discriminatory content.
- Circumvent financial regulations.
- Attack, reverse engineer, or disrupt the platform.
6. Intellectual Property
- Paegents retains all rights to its platform, software, and AI models.
- Users retain rights to their own data and uploaded content.
- By using the Service, you grant Paegents a license to process, store, and use your content solely for the purpose of providing and improving the Service.
7. Data Privacy and Security
Paegents uses commercially reasonable safeguards to protect data. However:
- No system is completely secure.
- Users accept the inherent risks of internet-based services.
- Users are responsible for protecting their own authentication credentials.
A separate Privacy Policy governs personal data practices.
8. Third-Party Services
Agents may interact with external services (banks, APIs, platforms, etc.). Paegents is not responsible for:
- Third-party outages.
- Data breaches caused by external vendors.
- Incorrect or unexpected responses from external systems.
Use of third-party services is governed by their respective terms.
9. Disclaimers
The Service is provided “as is” and “as available” without warranties. Paegents does not guarantee:
- Accuracy or reliability of AI outputs.
- Uninterrupted or error-free service.
- Compliance of user-deployed agents with regulatory requirements.
Use of the Service is at your own risk.
10. Limitation of Liability
To the maximum extent permitted by law, Paegents is not liable for:
- Lost profits.
- Financial losses.
- Indirect or consequential damages.
- AI output errors or autonomous agent actions.
- Unauthorized access to user accounts.
In no event will Paegents' total liability exceed the amount paid by the user in the past 12 months, if any.
11. Indemnification
Users agree to indemnify and hold Paegents harmless from:
- Claims arising from their use of the Service.
- Misuse of AI agents.
- Violations of law or third-party rights.
- Financial or regulatory consequences of agent-driven actions.
12. Termination
Paegents may suspend or terminate accounts if:
- Terms are violated.
- Harmful or fraudulent activity is detected.
- Required by law.
Users may stop using the Service at any time. Upon termination, certain rights and obligations survive (e.g., indemnification, limitations of liability).
